1. Introduction
These Terms and Conditions ("Terms") establish the legally binding agreement governing all interactions, transactions, services, programs, and relationships between Traveling Guns and Knives LLC, a Florida limited liability company ("Company," "TGK," "we," "us," or "our") and any individual or entity that accesses, purchases, participates in, promotes, or otherwise engages with TGK offerings.
These Terms apply universally to all TGK activities, whether conducted in person, online, or through third-party platforms. Covered offerings include, without limitation, firearms training, range sessions, ammunition programs, firearm and equipment rentals, memberships, events, competitions, corporate and leadership experiences, consulting and media services, film and television production support, private venue and contracted event delivery, ecommerce sales of accessories and merchandise, digital content, promotional campaigns, and participation in the TGK affiliate or referral program.
TGK may also operate as an independent contractor engaged by third-party venue operators, property owners, private clubs, or event organizers to design, staff, and deliver firearms sessions and related experiences on their behalf. In such arrangements, TGK serves solely as the operational service provider and retains full authority over all range safety, instruction, and operational decisions, independent of the engaging venue or client. These Terms govern TGK's role, obligations, and protections in all such contracted arrangements.
By accessing our website, booking a service, making a purchase, attending an event, participating in a session, enrolling in a program, or promoting TGK through an affiliate or referral relationship, you acknowledge that you have read, understood, and agreed to be bound by these Terms in full. If you do not agree, you must not access, use, participate in, or promote any TGK service or offering.
These Terms are intended to operate as a master agreement and may be supplemented by additional policies, waivers, disclosures, program-specific terms, or agreements. In the event of a conflict, the more specific terms applicable to the service or program shall control.
2. Eligibility and Participation
Participation in any TGK service, program, event, promotion, or affiliate relationship is limited to individuals who meet all applicable federal, state, and local legal requirements. Participants must be legally eligible to possess and use firearms and ammunition where applicable and must comply with all laws, regulations, and venue rules.
Unless explicitly stated otherwise in writing, all TGK services, benefits, bookings, memberships, promotional offers, and program access are non-transferable and may only be used by the individual approved, registered, or verified by TGK. Identity verification may be required at any time.
Participants must be at least eighteen (18) years of age to engage with TGK services, programs, or affiliate activities independently. Minors under the age of eighteen (18) may participate in designated TGK activities only when accompanied by a parent or legal guardian who is present on-site for the full duration of the activity, has signed all applicable waivers and consent documents on behalf of the minor, and accepts full responsibility for the minor's safety, conduct, and compliance with all TGK rules and staff directives. TGK reserves the right to deny participation to any minor at its sole discretion based on safety, maturity, or program suitability. Certain services, events, or programs may require a higher minimum age and will be designated as such in advance.
All participants must be physically and mentally capable of safely engaging in the applicable activity. By participating, you represent that you are not impaired by alcohol, drugs, medical conditions, or any other factor that could compromise safety. TGK reserves the right to deny or terminate participation if safety concerns arise at any time, with or without refund.
TGK reserves the unrestricted right to refuse service, deny access, cancel bookings, revoke memberships, suspend participation, or terminate any relationship, including affiliate participation, at its sole discretion, with or without cause, when deemed necessary for safety, compliance, operational integrity, or business reasons.
3. Services and Programs Covered
These Terms apply to all services, products, programs, and activities offered, operated, marketed, or facilitated by TGK, whether delivered directly by TGK or through approved partners, venues, or third parties, or delivered by TGK as a contracted independent service provider on behalf of a third-party client or venue operator. Covered offerings include, but are not limited to, the following:
- Firearms training, instruction, coaching, and certifications
- Supervised range sessions, private bookings, and guided shooting experiences
- NFA-regulated weapon experiences including suppressed fire and fully automatic platforms
- Precision long-range shooting programs at distances up to and exceeding 1,200 yards
- Night vision and thermal imaging operational experiences
- Field dressing instruction and guided processing of harvested game
- Knife and edged weapon handling, training, and demonstration
- Ammunition programs including unlimited, bundled, promotional, or complimentary ammunition offers
- Firearm, equipment, and accessory rentals
- Corporate, executive, and leadership development shooting experiences
- Public and private events, competitions, demonstrations, and brand activations
- Private venue and third-party contracted session delivery, where TGK operates as an independent service provider on behalf of an engaging client, venue operator, or property owner
- Film and television production consulting, weapons handling support, and on-set advisory services
- Consulting services including media, brand, security, and executive protection advisory
- Content creation, digital media, and promotional collaborations
- Online retail sales of firearms accessories, gear, apparel, and merchandise
- Memberships, packages, subscriptions, and loyalty programs
- Affiliate, referral, ambassador, and influencer programs
- Gift cards, vouchers, credits, and promotional incentives
Certain services or programs may be subject to additional terms, waivers, rules, pricing structures, or disclosures that apply specifically to that offering. Participation in any TGK service constitutes acceptance of both these Terms and any applicable supplemental terms.
TGK reserves the right to add, modify, suspend, or discontinue any service or program at any time without obligation to continue prior offerings.
4. Contracted Service Provider and Independent Contractor Disclosure
When TGK is engaged by a third-party venue operator, property owner, private club, event organizer, or corporate client (collectively "Engaging Client") to deliver firearms instruction, range management, safety oversight, ammunition programs, and related operational services on the Engaging Client's property or at the Engaging Client's event, TGK operates solely as an independent contractor. In such arrangements:
- TGK is not an employee, agent, partner, joint venturer, or representative of the Engaging Client and has no authority to bind the Engaging Client contractually or legally
- The Engaging Client is not an employer, principal, or controlling party of TGK and does not direct or control TGK's specific methods, safety protocols, instructional techniques, ammunition management decisions, or range operations
- TGK retains full and exclusive authority over all range safety determinations, participant conduct enforcement, cease-fire commands, impairment assessments, equipment approvals, and all other operational decisions made during the delivery of TGK services, regardless of the Engaging Client's preferences or instructions
- The Engaging Client is responsible for venue access, booking terms, property conditions outside the active range area, overall guest experience management, and hospitality decisions that fall outside TGK's operational scope
- TGK shall not be held liable for decisions, representations, omissions, or conditions attributable solely to the Engaging Client in its capacity as venue operator or event organizer, and the Engaging Client shall not be held liable for TGK's independent operational and safety decisions
- Participants engaging in TGK-delivered services on third-party property release both TGK and the Engaging Client independently and separately, as set forth in Section 13 of these Terms
Nothing in this section limits TGK's authority to enforce safety rules, remove participants, terminate sessions, or take any action TGK deems necessary to protect the safety of all individuals present during any TGK-delivered service, regardless of the instruction or preference of any Engaging Client.
5. Ammunition Programs and Usage
Any ammunition provided by TGK, whether unlimited, bundled, discounted, promotional, complimentary, or included as part of a package, membership, event, or session, is provided solely for use during the scheduled and supervised activity approved by TGK. Ammunition may not be removed, retained, transferred, resold, or taken off the premises under any circumstances, regardless of whether the session takes place on TGK premises or on third-party property where TGK is delivering contracted services.
TGK does not guarantee any specific quantity of ammunition, rate of fire, volume, caliber availability, or uninterrupted supply. Ammunition distribution is managed at the sole discretion of TGK staff based on safety considerations, training objectives, session duration, equipment used, and operational constraints. TGK reserves the right to limit, substitute, suspend, or terminate ammunition access at any time if misuse, unsafe behavior, excessive waste, equipment abuse, attempt to exploit the offer, or violation of range rules or staff instructions is observed.
Ammunition programs are not intended for competitive consumption, stress testing, endurance firing, or volume-based exploitation unless expressly approved in writing by TGK as part of a designated training program or event.
No refunds, credits, substitutions, or compensation will be issued for unused ammunition time, perceived limitations, caliber substitutions, or early termination resulting from participant conduct, safety concerns, or operational decisions.
6. Firearm Use and Equipment
Participants may use personal firearms or firearms, equipment, and accessories provided by TGK, subject at all times to inspection, approval, and ongoing supervision by TGK staff. TGK reserves the sole right to approve or deny the use of any firearm, optic, accessory, ammunition, or equipment for any reason related to safety, compatibility, compliance, or operational standards, including on third-party property where TGK is contracted to deliver services.
Any firearm or equipment deemed unsafe, improperly maintained, modified, malfunctioning, non-compliant with range rules, or unsuitable for the planned activity may be prohibited from use without refund or credit. TGK is not responsible for delays, limitations, or cancellations resulting from unapproved equipment.
Participants are fully responsible for the safe handling, lawful possession, and proper use of any personal firearm or equipment brought onto any premises where TGK services are being delivered, including both TGK-operated locations and third-party venues. Any damage to TGK property, venue property, facilities, firearms, equipment, or third-party property caused by misuse, negligence, reckless behavior, or failure to follow instructions will be the financial responsibility of the Participant.
TGK-provided firearms and equipment remain the property of TGK at all times and may not be disassembled, modified, adjusted, or used outside of approved parameters without express staff authorization.
7. Supervision and Safety Compliance
All TGK range-based services, training sessions, and live-fire activities must be conducted under the direct supervision of TGK staff, instructors, or designated range officers, regardless of whether the session takes place on TGK-operated premises or on third-party property where TGK has been contracted to deliver services. Participants agree to follow all safety rules, written policies, posted signage, verbal instructions, and TGK staff directives at all times without exception.
TGK reserves the full and exclusive authority to pause, restrict, modify, or immediately terminate any session if a Participant fails to follow safety procedures, appears impaired, acts unpredictably, or otherwise presents a safety concern. Such termination may occur without warning and without refund, credit, or rescheduling. Safety determinations are made in real time at the sole discretion of TGK staff and are final. No instruction, preference, or objection from any Engaging Client, venue operator, or third party shall override TGK's safety authority during an active session.
Failure to comply with supervision or safety requirements may also result in removal from the premises and permanent suspension from future TGK services. When TGK is operating on third-party property, removal from the premises shall be coordinated with the venue operator, but the decision to remove a participant for safety reasons rests solely with TGK range staff.
8. Prohibited Conduct and Misuse
Prohibited conduct includes, but is not limited to, any action, behavior, or attempt that TGK determines compromises safety, security, operations, or the integrity of its services. Prohibited conduct includes:
- Unsafe or negligent firearm handling, reckless behavior, intentional or excessive rapid fire without a defined training purpose, horseplay, or intimidation
- Failure to follow TGK staff instructions, range safety rules, or venue rules immediately and without question
- Crossing the firing line or entering the downrange area without express permission from TGK range staff
- Sharing firearms, ammunition, equipment, credentials, bookings, or benefits with unauthorized individuals
- Attempting to exploit or manipulate promotional offers, ammunition programs, or pricing systems
- Falsifying information, bypassing safety controls, or interfering with the experience or safety of others
- Use of alcohol, illegal substances, or impairing medications before or during any range session or active firearm handling — this prohibition is absolute and applies at all TGK sessions and contracted events without exception
- Harassment, threats, abusive language, discrimination, or disruptive conduct toward TGK staff, venue staff, other participants, partners, or guests
- Unauthorized removal of TGK-provided ammunition, equipment, or property from any TGK event or contracted venue
- Recording, photographing, or sharing any content that discloses the specific location, layout, operational details, or client identities of any TGK contracted venue without prior written authorization from TGK and the relevant venue operator
Engaging in prohibited conduct may result in immediate termination of services without refund, forfeiture of remaining session time or benefits, removal from the premises, suspension or permanent revocation of future access, cancellation of memberships, and termination of affiliate or referral relationships where applicable.
9. Minor Participant Policy
Traveling Guns and Knives LLC welcomes minor participants in designated activities when accompanied by a parent or legal guardian. The following terms apply to all minor participants:
- A minor is defined as any individual under the age of eighteen (18) years
- Minors may only participate in TGK activities that have been designated as minor-eligible by TGK staff in advance. Not all TGK services, events, or programs are open to minor participants. TGK reserves the right to determine minor eligibility for any activity at its sole discretion
- A parent or legal guardian must be physically present on-site for the full duration of the minor's participation. Remote consent or off-site guardian approval is not sufficient
- The parent or legal guardian must sign all applicable waivers, consent forms, and liability documents on behalf of the minor prior to the start of any activity. The parent or legal guardian's signature constitutes acceptance of all TGK Terms and Conditions on the minor's behalf
- The parent or legal guardian accepts full personal responsibility for the minor's safety, conduct, compliance with TGK staff directives, and any damage, injury, or liability arising from the minor's participation
- The parent or legal guardian must remain attentive and available to TGK staff throughout the session and must immediately comply with any instruction from TGK staff regarding the minor's conduct or removal from the range
- TGK reserves the right to deny participation to any minor at any time based on safety considerations, behavior, physical or emotional readiness, or program suitability, without obligation to provide a refund
- Minors are subject to all the same safety rules, prohibited conduct provisions, and compliance requirements as adult participants. The parent or legal guardian is responsible for ensuring the minor understands and follows all rules prior to participation
10. Film and Television Division
Traveling Guns and Knives LLC operates a Film and Television Division that provides specialized firearms handling support, on-set weapons consultation, prop weapon management, actor and crew training, safety advisory services, and related production consulting for film, television, streaming, commercial, and live performance productions (collectively "Production Services").
10.1 Scope of Film and Television Services
TGK's Film and Television Division services may include, without limitation:
- On-set firearms and edged weapon safety consultation and oversight
- Armorer services including the sourcing, transportation, staging, and safe management of real and prop firearms on production sets
- Actor, stunt performer, director, and crew training in safe and realistic firearms handling for on-camera performance
- Knife and edged weapon choreography, handling instruction, and on-set safety oversight
- Script and continuity consultation for firearm accuracy, realism, and legal compliance
- Production support for action sequences involving live blank fire, simulated fire, or prop weapon use
- Post-production consulting for firearms-related content accuracy
10.2 Independent Contractor Status
When providing Film and Television Division services, TGK operates as an independent contractor engaged by the production company, studio, network, or production entity ("Production Client"). TGK is not an employee, agent, or representative of the Production Client. TGK retains full authority over all on-set firearms safety decisions, including the right to halt any scene, sequence, or production activity that TGK staff determines presents an unsafe condition, regardless of production schedule, director preference, or Production Client instruction.
10.3 Safety Authority on Production Sets
TGK's on-set weapons safety authority is absolute and non-negotiable during any sequence, scene, or activity involving real firearms, prop firearms, blank ammunition, edged weapons, or any other weapon handled under TGK supervision. No Production Client, director, producer, cast member, crew member, or third party may override TGK's safety determinations on set. TGK staff has the unilateral authority to call a halt to any production activity for safety reasons without obligation to continue and without liability for production delays, costs, or losses arising from the safety halt.
10.4 Liability for Production Services
The Production Client is solely responsible for ensuring full compliance with all applicable federal, state, and local laws and regulations governing the use of firearms, blank ammunition, prop weapons, and special effects on production sets, including but not limited to applicable OSHA regulations, state entertainment industry safety guidelines, and union requirements. TGK's role is advisory and operational within the scope of services contracted. TGK shall not be held liable for injuries, deaths, property damage, production losses, delays, or regulatory violations arising from the Production Client's failure to comply with applicable laws or safety protocols outside TGK's designated scope of services.
All individuals present on set during sequences involving TGK-supervised weapons must comply with TGK staff directives. Any individual who fails to comply with TGK safety instructions may be removed from the weapons activity at TGK's sole discretion. The Production Client is responsible for ensuring all cast and crew members present during weapons sequences have received and acknowledged the applicable safety briefing delivered by TGK staff prior to the start of any armed sequence.
10.5 Confidentiality in Production Engagements
TGK acknowledges that production projects, scripts, schedules, and client identities may constitute confidential and proprietary information of the Production Client. TGK agrees not to publicly disclose the nature, scope, or details of any specific production engagement without prior written authorization from the Production Client, except as required by law. The Production Client similarly agrees not to publicly misrepresent TGK's role, services, or qualifications in connection with any production.
11. Affiliate and Referral Program
Participation in any TGK affiliate, referral, ambassador, or influencer program is subject to prior approval and ongoing compliance with TGK policies, guidelines, and any supplemental affiliate agreement or program terms provided. TGK retains sole discretion to approve or deny any application without obligation to disclose reasons.
Affiliates operate as independent contractors and are not employees, partners, joint venturers, agents, or representatives of TGK. Affiliates have no authority to bind TGK, make representations on its behalf, or imply any endorsement beyond approved marketing materials.
Commissions or referral fees are earned only on qualified, verified, and completed transactions that comply with program rules. Commissions are not guaranteed and may be adjusted, delayed, withheld, reversed, or forfeited in cases of refunds, chargebacks, fraud, policy violations, improper promotion, self-dealing, misrepresentation, or non-compliance with applicable laws or disclosure requirements.
TGK reserves the unrestricted right to modify commission structures, payout thresholds, payment timing, and program rules at any time. TGK may suspend or terminate affiliate participation immediately, with or without notice, for violations, inactivity, reputational risk, or business reasons.
Affiliates are solely responsible for compliance with all advertising, marketing, endorsement, and disclosure laws and regulations, including but not limited to FTC guidelines. Affiliates are solely responsible for all taxes, reporting obligations, and liabilities arising from commissions or referral income.
Affiliate participation does not create any expectation of earnings, exclusivity, or continued participation. Termination of affiliate status does not entitle the affiliate to future commissions beyond those expressly approved and payable under program terms.
12. Cancellation, Payments, and No-Show Policy
All prices, fees, promotions, discounts, and offers are subject to change without notice. Full payment is required prior to participation unless otherwise approved in writing by TGK. TGK reserves the right to refuse or cancel any transaction suspected of fraud, abuse, chargeback risk, or policy violation.
12.1 No Standard Cancellation Policy
Traveling Guns and Knives LLC does not maintain a standard cancellation and refund schedule. All bookings, session fees, event fees, and program payments are considered final and non-refundable at the time of payment. TGK does not guarantee refunds, credits, or rescheduling based on participant-initiated cancellations, changes in schedule, personal conflicts, or change of mind.
12.2 Special Circumstances
TGK may, at its sole and absolute discretion, consider refund requests or session credits in cases of verified special circumstances. Special circumstances may include documented medical emergencies, death in the immediate family, or other extraordinary events beyond the participant's reasonable control that make participation physically impossible. Requests for special circumstance consideration must be submitted in writing to TGK prior to or within forty-eight (48) hours of the scheduled session. TGK's determination of whether a circumstance qualifies for consideration is final and non-negotiable. The issuance of any refund or credit under special circumstances is a discretionary act by TGK and does not create precedent or obligation for future requests.
12.3 TGK-Initiated Cancellations and Force Majeure
If TGK cancels or reschedules a session due to circumstances within TGK's reasonable control, TGK will offer the participant a credit toward a future session of equal value. If TGK cancels or reschedules a session due to force majeure events, weather, safety concerns, venue unavailability, or other circumstances beyond TGK's reasonable control, TGK is not obligated to issue a refund and will make reasonable efforts to offer a session credit at TGK's discretion.
12.4 No-Shows and Removals
Participants who fail to appear for a scheduled session without prior notice forfeit all fees paid without right to refund, credit, or rescheduling. Participants removed from a session during participation due to policy violations, impairment, unsafe conduct, or prohibited behavior as determined by TGK staff forfeit all fees paid without right to refund, credit, or rescheduling.
12.5 Promotions and Payment Integrity
Coupon codes, promotional discounts, referral credits, and special offers must be applied at the time of booking and cannot be added, adjusted, or retroactively applied after payment is completed. Promotions may not be combined unless explicitly stated in writing. Improper use or manipulation of promotions, referral codes, or pricing systems may result in order cancellation, forfeiture of benefits, and permanent denial of future services.
13. Assumption of Risk and Waiver of Liability
Participation in TGK services, activities, events, training, range sessions, ammunition programs, film and television production services, contracted venue sessions, and all related offerings involves inherent and substantial risks. These risks include, but are not limited to, the use and discharge of firearms, handling of ammunition and NFA-regulated weapons, night vision and thermal operations, field dressing activities, edged weapon handling, physical exertion, exposure to loud noise, flying debris, equipment malfunction, actions of other participants, and environmental, property, or facility-related hazards.
By participating, you knowingly and voluntarily assume all risks, both known and unknown, foreseeable and unforeseeable, even if arising from the negligence of TGK, any Engaging Client, any venue operator, or any other Released Party, to the fullest extent permitted by law. You agree that participation is entirely voluntary and undertaken at your own risk.
You hereby release, waive, discharge, and hold harmless Traveling Guns and Knives LLC and, where applicable, any Engaging Client, venue operator, property owner, or contracting party that has engaged TGK to deliver services, together with each of their respective owners, officers, directors, employees, instructors, independent contractors, volunteers, agents, affiliates, partners, sponsors, successors, and assigns (collectively "Released Parties"), from any and all claims, demands, causes of action, damages, losses, injuries, costs, or liabilities of any kind, whether personal, bodily, property-related, or otherwise, arising out of or related to participation in TGK services or presence on any premises where TGK services are delivered, except where prohibited by law.
This waiver applies to claims based on negligence, premises liability, equipment failure, improper instruction, actions of other participants, independent contractor relationships, or any other theory of liability. You agree not to bring any claim, lawsuit, or proceeding against any Released Party for any matter covered by this waiver. You further agree to indemnify and defend all Released Parties against any claims, damages, or liabilities brought by third parties arising from your actions, omissions, or violations of these Terms.
The release of TGK and the release of any Engaging Client or venue operator are independent and separate. A finding of liability against one Released Party does not affect, limit, or reduce the release granted to any other Released Party.
You acknowledge that this Assumption of Risk and Waiver of Liability is intended to be as broad and inclusive as permitted by Florida law and that if any portion is held invalid, the remainder shall continue in full force and effect.
14. Availability and Scheduling
All TGK services, sessions, events, programs, and offerings are subject to availability, scheduling constraints, staffing levels, facility access, weather conditions, venue rules, and supply considerations. Dates, times, locations, instructors, and formats are not guaranteed and may change. When TGK is contracted to deliver services at a third-party venue, scheduling is also subject to the availability and operational conditions of the Engaging Client's property or event.
TGK reserves the right to reschedule, substitute, modify, shorten, relocate, or cancel any service or event when necessary due to operational needs, safety concerns, equipment issues, instructor availability, supply limitations, force majeure events, or circumstances beyond reasonable control. TGK is not responsible for travel costs, lodging, third-party expenses, lost time, or incidental costs incurred in connection with scheduling changes or cancellations.
15. No Cash Value and No Guarantees
All services, offers, benefits, credits, promotions, programs, memberships, affiliate commissions, referral incentives, and ammunition-related offerings provided by TGK have no cash value unless explicitly stated in writing by TGK.
TGK makes no representations or guarantees regarding outcomes, results, performance, skill improvement, certification attainment, earnings, commissions, ammunition quantity, ammunition availability, session length, instructor assignment, or program continuity. Any examples, projections, testimonials, or prior results referenced by TGK or its affiliates are illustrative only and do not constitute a promise or guarantee of future performance or earnings.
Participation is voluntary and undertaken at the participant's own discretion. No refund, credit, or compensation will be issued based on dissatisfaction with results, perceived value, pace of instruction, ammunition consumption, or subjective expectations.
16. Force Majeure
TGK shall not be liable for any delay, failure, suspension, or inability to perform services, programs, events, deliveries, or obligations where such delay or failure results from circumstances beyond TGK's reasonable control. Force majeure events include, but are not limited to, acts of God, natural disasters, extreme weather, fire, flood, pandemic, epidemic, public health emergencies, government orders or restrictions, acts of war or terrorism, civil unrest, labor shortages or disputes, supply chain disruptions, equipment failure, utility outages, venue closures, or failures of third-party service providers.
During a force majeure event, TGK may reschedule, modify, substitute, suspend, or cancel affected services or offerings without liability. No refunds, credits, or compensation are guaranteed unless expressly required by law.
17. Intellectual Property and Confidentiality
All content, materials, branding, logos, training methods, curriculum, media, photographs, videos, session formats, program designs, and proprietary systems developed or owned by TGK are the exclusive intellectual property of Traveling Guns and Knives LLC and are protected by applicable copyright, trademark, and trade secret laws. Participants, affiliates, and contracting parties may not reproduce, distribute, publish, sell, or create derivative works from any TGK intellectual property without prior written authorization.
Participants acknowledge that certain information disclosed in connection with TGK services and contracted venue activities, including the specific location, layout, client identities, pricing structures, operational procedures, and proprietary methods of any TGK-contracted private venue or experience, constitutes confidential and proprietary information of TGK and the relevant venue operator. Participants agree not to disclose, publish, share, or otherwise communicate any such confidential information to any third party without prior written authorization from TGK.
18. Media and Photography Authorization
By participating in any TGK service, session, event, or program, Participant grants TGK and, where applicable, any Engaging Client or venue operator that has contracted TGK, a perpetual, irrevocable, worldwide, royalty-free license to photograph, film, record, and otherwise capture Participant's image, likeness, voice, and participation for marketing, promotional, social media, editorial, and commercial purposes without further consent or compensation to Participant, unless Participant has submitted a written opt-out request to TGK prior to the session.
19. Amendments and Termination
TGK reserves the unrestricted right to modify, update, revise, suspend, or terminate any service, program, offering, promotion, affiliate relationship, or these Terms at any time, with or without prior notice, for operational, legal, safety, compliance, or business reasons.
Changes become effective immediately upon posting on TGK websites, platforms, or facilities, or upon continued use of TGK services. It is your responsibility to review these Terms periodically. Continued access, participation, purchase, or promotion following any modification constitutes binding acceptance of the revised Terms.
TGK may terminate or suspend access to services, memberships, bookings, events, accounts, or affiliate participation at any time, with or without cause, and without obligation to provide refunds, credits, or compensation except where required by law.
Termination of services or participation does not affect provisions intended to survive termination, including but not limited to liability waivers, indemnification obligations, payment obligations, confidentiality, dispute resolution, and governing law.
20. Governing Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to TGK services, programs, transactions, promotions, affiliate relationships, contracted venue sessions, film and television production services, or these Terms shall be governed by and construed exclusively in accordance with the laws of the State of Florida, without regard to conflict of law principles.
You agree that exclusive venue and jurisdiction for any legal action shall lie in the state or federal courts located within Miami-Dade County, Florida. You knowingly waive any objection to personal jurisdiction, venue, or forum non conveniens.
To the fullest extent permitted by law, you agree that any claims shall be brought only in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Any dispute that cannot be resolved through good-faith negotiation between the parties shall be submitted to binding arbitration administered by the American Arbitration Association under its then-current rules. Judgment on any arbitration award may be entered in any court of competent jurisdiction.
21. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
These Terms, together with any applicable supplemental agreements, waivers, program-specific terms, or written policies provided by TGK, constitute the entire agreement between the parties with respect to their subject matter and supersede all prior agreements, understandings, verbal representations, and assurances. No modification of these Terms shall be binding on TGK unless made in writing and posted or published by TGK.
22. Acknowledgment
By accessing, purchasing, booking, participating in, attending, enrolling in, or promoting any TGK service, program, event, product, contracted session, or affiliate offering, you affirm that you have read, understood, and voluntarily agreed to be legally bound by these Terms in their entirety.
You acknowledge that these Terms constitute a binding agreement, that you have had the opportunity to review them prior to participation or purchase, that you have been encouraged to seek independent legal counsel if you have any questions, and that no verbal statements, representations, or assurances outside of these Terms shall modify or supersede them. Your continued use or engagement with TGK services constitutes ongoing acceptance of these Terms as updated from time to time.
